OT HELPLINE LLC Tutoring Services Agreement Contract & Terms of Service

Tutoring Services:     OT Helpline LLC (OT Helpline)

This Agreement Contains a description of the Client’s contract with OT Helpline and each party’s associated rights and obligations. It also contains the Terms of Service related to the use of www.othelpline.com in conjunction with this Agreement.  


SERVICES:

OT Helpline agrees to provide tutoring services to the client to assist in preparation for the occupational therapy board exam. All tutoring services will be provided by a board certified occupational therapist.


FEE: 

Fees for tutoring services are outlined at https://othelpline.com/pricing. Client may select any of the packages offered, each with a specific fee in exchange for the specified services. If the packages offered do not meet the Client's needs, the Client can request a personalized package. The fee for the personalized package will be determined by the Tutor. Packages must be paid in full prior at least 24 hours prior to the commencement of the first tutoring session, or the session will be cancelled. Payment arrangements or plans other than those offered on the website may be arranged directly with the Tutor, within the Tutor’s sole discretion.


LOCATION AND SCHEDULING OF SESSIONS:

All tutoring sessions occur via Zoom. Tutor will contact the Client via email/text to schedule the first session within 48 hours of receipt of payment. Client will receive a confirmation email containing a Zoom link to access the session before the session takes place. Client will also receive a reminder via email/text within 24 hours prior to the session. 


TERM: 

The duration of the Tutoring Services Agreement is dictated by the package paid for in advance by the Client. Upon completion of the final tutoring session provided for in the purchased packet, the Tutoring Services Agreement automatically terminates and neither Tutor nor Client are any under further legal obligations to one another.


CANCELLATION:

Cancellation is defined as permanently withdrawing from a scheduled session without rescheduling. Clients may cancel any tutoring sessions by providing notice up to 24 hours prior to the scheduled session start time and will receive full credit for a future tutoring session. If the Client cancels with less than 24 hours’ notice, no credit or refund will be given, and tutoring services will be deemed to have been provided for the cancelled session. 


RESCHEDULING POLICY:

Rescheduling is defined as moving a scheduled session to a different time or date, while still attending the session. Clients may reschedule any tutoring session by providing at least 8 hours' notice prior to the scheduled session start time.  OT Helpline understands that unforeseen circumstances may occasionally prevent attendance. To accommodate this, packages that involve two or more sessions will include a limited number of grace occurrences for changes made with less than 8 hours' notice: 

    1-session package: 0 grace occurrences

    2-session package:  1 grace occurrence

    3-4 session package: 2 grace occurrences

    6-8 session package: 3 grace occurrences

    12-14 session package: 4 grace occurrences

Once the allotted grace occurrences have been used, any additional reschedules made with less than 8 hours notice, a $35 rescheduling fee will be charged. 


REFUND POLICY:

All purchases of one-on-one tutoring packages are final and non-refundable. A complimentary consultation is provided prior to booking so that prospective clients may obtain all necessary information regarding services, scheduling, and expectations before committing to a package.

By submitting payment, the Client acknowledges and agrees that tutoring time, preparation, and scheduling are reserved exclusively on their behalf. Accordingly, no refunds shall be issued once payment has been received, regardless of whether tutoring sessions have commenced. 


LATE/NO-SHOW POLICY:

If Client is more than 15 minutes late logging into the scheduled Zoom session and fails to provide OT Helpline with notice that Client will be late, Client will be considered a “no-show” and tutoring services for that session will be deemed to have been provided by OT Helpline. In such circumstances no refunds or credits will be given for the missed session. If Client provides advanced notice of the late login, OT Helpline will provide tutoring for the balance of the scheduled session once Client logs in.


LIVE MEMBERSHIP GROUP CLASS POLICY:

All monthly membership fees are nonrefundable, regardless of the reason for cancellation, non-use, or dissatisfaction. By purchasing a membership, the Client acknowledges and accepts that payments are final. Clients are encouraged to review membership details carefully prior to purchase.

Enrollment in the Live Membership Group Class provides access to recordings and live sessions for 30 days from the date of purchase. To continue to access beyond this period, the student must re-enroll by purchasing an additional 30-day membership. Access is not automatically renewed. 

Membership access is for the exclusive use of the enrolled Client. Clients are prohibited from sharing login credentials or membership content. Unauthorized sharing will result in immediate termination of access without refund.

All live group sessions are recorded and uploaded to Thinkific for on-demand viewing. By participating in live classes, Clients consent to being recorded. Recordings are available only to active members and may not be copied, downloaded, or shared.

All recorded videos and membership content are the intellectual property of OT Helpline and are provided solely for the personal use of the enrolled Client during their active membership. Clients may not copy, download, share, or distribute recorded content. Any unauthorized use or sharing will result in immediate termination of access without refund and may lead to further action if necessary.

Membership content is delivered through Thinkific, a third-party platform. OT Helpline is not responsible for technical issues on Thinkific. Clients should contact Thinkific Support directly for assistance with access, playback, or other platform-related issues.


STUDY GUIDE POLICY (PDF + Audio)

Study guides consist of downloadable PDF materials and accompanying audio files. All study guide purchases are nonrefundable and final, regardless of dissatisfaction, perceived effectiveness, or non-use. Clients are encouraged to review product descriptions carefully before making a purchase.

Study guides (including PDF and audio files) are delivered and sold through Sellfy, a third-party e-commerce platform. OT Helpline is not liable for any technical, transactional, or access issues that may occur on Sellfy’s platform, including download interruptions or payment processing errors. Clients are responsible for ensuring they have a stable internet connection and a compatible device to access purchased files. 

Study guides are for the exclusive personal use of the purchasing Client. Each PDF is securely marked with the client’s email address to discourage unauthorized sharing or distribution. Clients may not copy, share, resell, or distribute study guide content in any form. Unauthorized sharing or distribution constitutes a material breach of this Agreement and may result in immediate termination of services, forfeiture of future access, and potential legal action if necessary.

All study guides are the intellectual property of OT Helpline. Purchase of a study guide grants the Client a permanent, non-transferable license for personal use only. Clients do not obtain any ownership rights to the content, and all rights remain with OT Helpline.


RECORDING POLICY: 

Video or audio recordings of any tutoring is expressly prohibited, unless Client obtains permission from OT Helpline, which may be granted in OT Helpline’s sole discretion, prior to taking the recording. Any authorized recordings are to be used solely for the benefit of the Client, and cannot be resold, distributed, broadcast or disseminated in any way to a third-party. Unauthorized recording of any session, and/or dissemination of any recorded tutoring session contrary to the terms of the section will be considered a material breach of this Agreement. If such a breach occurs, OT Helpline may, at its sole discretion, immediately terminate the Tutoring Services Agreement. Termination by OT Helpline due to material breach of this section will result in Client forfeiting all prepaid tutoring sessions with no refund, and Client will be permanently banned from purchasing future tutoring services from OT Helpline.


NO WARRANTY:

OT Helpline’s tutoring services are provided for educational purposes only to assist the Client in preparing for the occupational therapy board exam. OT Helpline does not guarantee any particular result or improvement of performance or test scores for the Client.


CHOICE OF LAW/VENUE:

This Agreement will be governed and interpreted under Nevada law without regard to conflicts of law principles. The sole and exclusive venue for the resolution of any disputes arising from this Agreement will be Clark County, Nevada. The parties consent to this exclusive venue and to the jurisdiction of the Clark County Courts, and waive any defense associated with personal jurisdiction in an action to enforce or interpret the terms of this Agreement.


ENFORCEABILITY/SEVERANCE:

Should a court of competent jurisdiction deem any part or portion of this Agreement void or unenforceable, the balance of the Agreement will remain in full force and effect. The parties hereby authorize such a court to reform any such part or portion to carry out the intents of the parties and so that the provision becomes enforceable under applicable law.


TERMS OF SERVICE:

By accessing https://www.othelpline.com, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by OT Helpline.

OT Helpline reserves the right to review and amend any of these Terms of Service at its sole discretion.  Any changes to these Terms of Service will take effect immediately from the date of publication.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

    modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;

    remove any copyright or other proprietary notations from any materials and software on this website;

    transfer the materials to another person or "mirror" the materials on any other server;

    knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service OT Helpline provides;

    use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

    use this website or its associated services in violation of any applicable laws or regulations;

    use this website in conjunction with sending unauthorized advertising or spam;

    harvest, collect, or gather user data without the user’s consent; or

    use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

All materials contained in this website are owned by or licensed to OT Helpline and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by OT Helpline at any time.

Liability

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, OT Helpline makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall OT Helpline or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if OT Helpline or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
